Professor Kozuka will outline the structure of Japan's Corporations Act (Kaisha Ho), looking as he goes at key terms used in it, in particular some of the “invented words” that may not be correctly understood if translated word for word. One example is "kabushiki iten," which in fact has nothing to do with the trading of shares. He will then discuss some general private law concepts that are implicit in the Companies Act, such as "chui gimu" (which is not exactly a duty of care) and "daihyo" (and whether it should be translated as “representative”). Some private law concepts are difficult to translate into English because they are strongly influenced by the Civil Law, particularly German law tradition.
